Operating my own law practice as a solo practitioner. The following is my experience. Litigation: contract litigation of all types, securities litigation; unfair competition, international contract disputes, trade secret, antitrust, litigation involving the Foreign Sovereign Immunities Act and governmental immunities generally, real estate construction disputes, sex and race discrimination cases and arbitration proceedings involving some of the above types of claims. Corporate: mergers and acquisitions of public and private companies, private placements of debt and equity, general and limited partnership agreements, leveraged buyouts, divestitures of facilities and divisions, advising on all phases of corporate activities, including employment agreements, personnel related problems, pension and profit sharing plans. Corporate Workouts representation of clients who were major creditors of debtors in bankruptcy proceedings, served as head of a creditors committee established to develop a reorganization plan for a debtor hospital; represented a debtor in possession in a bankruptcy proceeding, advised clients in effecting debt restructuring.International representation of Swedish, Japanese, English, Nigerian, Liberian, German, Brazilian, Hong Kong and Iranian clients doing business in the United States; negotiated international distribution agreements for clients doing business in Italy, England, France and Canada; represented clients in international commodities transactions; advised clients with respect to sovereign immunity, the Foreign Sovereign Immunity Act and the Foreign Corrupt Practices Act.Real Estate, Foreclosure and Note Litigation: Negotiated commercial leases of various types; negotiated large real estate transactions, extensive experience in residential and corporate foreclosures on behalf of RTC and FDIC and in large collection matters.
