My initial role at Investa was a new position reporting to the CFO (General Manager – Corporate Finance and Taxes), established in response to strong growth in the company. Prior to my arrival, Investa had sourced its debt funding from a diverse number of predominantly secured bank loans, and all tax work was outsourced to service providers. There was no formal financial risk management framework. Due to the growth in assets under management, and a consequent need to diversify funding sources and control the associated interest rate risk, my key objective was to establish a treasury and tax function with a level of sophistication commensurate with the size of the enlarged company.The role had three direct reports – one Treasury Analyst and two tax specialists – and was responsible for all strategic and operational tax and treasury matters. The role also included responsibility for providing structuring, tax and financing advice to listed and unlisted property fund managers, and for advising the CFO and the Board on all corporate finance, capital management and taxation issues, on an ongoing basis and in relation to M&A activity.In mid 2006, I was promoted to Group Executive, Corporate Finance and Strategy. In this role I retained overall responsibility for group treasury and, in addition, increasingly focused on group strategic initiatives. This included the structuring of transactions, preparation of strategic plans and management of the Group’s capital.I was also a Director of Star Securitisation Pty Ltd (a conduit securitisation vehicle I established to undertake secured public debt issues for Investa’s externally managed funds) and was a permanent member of Investa’s Due Diligence Committee (DDC). The DDC has responsibility for reviewing all material transactions undertaken by Investa, and making appropriate recommendations to the Board.
