• Responsible for 82 consecutive quarterly earnings releases and SEC filings without a restatement. • Repurchased over $1.8 billion of Unitrin common stock.• Responsible for the management of Unitrin’s $6 Billion Investment Portfolio outperforming peer group by 125 basis points over a 10 year period• Led the Negotiations for numerous acquisitions and diverstitures.• Led Unitrin’s first public debt offering in 2002 - a $300 million 5.75% five-year Senior Note issue. Led subsequent public debt offerings in 2003 and 2008.• Negotiated Unitrin’s first revolving credit facility – a $350 million unsecured three–year agreement with a group of banks in 1995. Negotiated Unitrin’s $340 million unsecured five-year revolving credit facility in 1997, Unitrin’s $360 million unsecured three-year revolving credit facility in 2002, Unitrin’s $325 million unsecured five-year revolving credit facility in 2005, and Unitrin’s $245 million unsecured three-year revolving credit facility in 2009. • Moved Unitrin stock listing from NASDAQ to the New York Stock Exchange in 2001.• Negotiated amended terms of Northrop Grumman’s 2001 acquisition of Litton Industries allowing Litton shareholders to choose a tax-free exchange of securities in lieu of cash. Designed Northrop Preferred Stock issued on terms favorable to Unitrin. Unitrin recognized a $370 million gain as a result of these transactions. Unitrin controlled 28% of Litton’s outstanding common shares. • Led the 2001 $196 million spin-off of Unitrin’s 44% ownership of Curtiss Wright’s common stock directly to Unitrin’s shareholders in a tax-free manner. Transaction required the recapitalization of Curtiss-Wright turning Unitrin holdings into super voting shares. Fought successful proxy contest against dissenting shareholder Mario Gabelli. • Played a key role in Unitrin’s successful defeat of American General’s hostile take-over attempt in 1995.
