MSX eliminated all of their Tax Department except for myself. They outsourced the department to Grant Thornton and kept me on as Tax Manager. Tower Automotive was establishing a new Tax Department and all of the former MSX tax people became the core their new Tax Department. I shortly decided to leave MSX and join my former colleagues at Tower. All my responsibilities remained the same as with MSX.· Contributed to Towers emergence from bankruptcy.· Reconciled all deferred taxes, created workpaper support and established procedures to eliminate any such future charges after Tax Department was charged with a “material weakness” in 2005.· Implemented and maintained SOX 404 procedures.· Handled tax input into 10-K and 10-Q filings.

Preparation of US federal (including 5471’s & 8865’s), state & city (272 returns), Canadian federal and Ontario income tax returns. Assist and review in the formalization of new companies, acquisitions, lease agreements and contractual obligations. Assist payroll and human resources with various concerns such as per diems, moving allowances, independent contractors, expat, gifts & awards, etc. Handle all tax audits.· Contributed in the creation of an employee leasing company with savings of $1,000,000 in state unemployment taxes (one time) and $1,000,000 in Michigan SBT (annually).· Developed excel program to calculated US tax provisions in a half-a-day, previously took 3 days.

Reconstructed an E&P history on GT's consolidated group dating back to 1913.. A committee member involved in the Internal Revenue Services writing of diesel fuel tax laws as they related to railroad operations.. A committee member involved in restructuring GT's consolidated group to maximize tax benefits on a $200 million issuance of Auction Preferred Stock (APS).. Coordinate with our Canadian parent's Tax Department on international tax issues and providing information.

Responsibilities included the preparation of all taxes - federal and state income, severance, reclamation, black lung, fuel, excise, sales and use, payroll, property and highway use tax returns. Assist and review in the formalization of new companies, pension plans, lease agreements and contractual obligations. Handle all audits. Attend legal proceedings on state tax issues. Supervise insurance, cash management and payroll departments.. Restructured state income tax filings to a combined bases with initial savings of $157,000 (verified through audit and courts) and with current annual savings of $500,000. (Chapperal Coal a landmark case). Discovered a court case involving an available exemption pertaining to air pollution control facilities and was able to convince State authorities that our Wash Plant facility was of the same type resulting in a $151,400 refund of sales tax and $150,000 in annual savings of property and franchise taxes.
