IPO、并购律师 － 资本市场部 • 主办境内外重大重组并购，工作范围包括但不限于交易谈判、对并购标的进行尽职调查、研究相关法律问题及行业、起草/修改交易方案及交易文件、起草法律意见书、与境外律师沟通并根据监管部门的要求指示/审阅境外律师出具的尽职调查报告及法律意见书等（代表项目：海普瑞收购多普乐，中伦2018申报钱伯斯、Asialaw、IFLR1000等三家国际评级机构项目） • 主办境内IPO项目，工作范围包括但不限于项目尽调、上市前重组方案的设计／研究、PE投资者协议的起草／修改、员工激励计划方案的设计及文件起草、股改文件的拟定、研究相关法律问题并出具备忘录、监管部门反馈问题的答复以及律师工作报告、法律意见书的起草等 • 研究相关会计、税务基础知识，设计税收筹划方案，曾为拟上市公司节省税赋近2,000万元 • 主要负责常年法律顾问工作的上市公司有海普瑞（002399）、安车检测（300572）、高澜股份（300499）、爱康科技（002610）、灵康药业（603669）等 • 主要负责的拟上市IPO项目有越海物流（独角兽企业）、展辰新材料、星艺装饰等 • 参与并提供资本市场服务的其他项目有科顺股份（300737）、长园集团（600525）、迪马股份（600565）、长安汽车（000625）、掌阅科技（603533）、闽灿坤B(200512)、西施生态、晶华科技、深投控、菜鸟网络、麦星投资、光智通讯、天智互联、滨北新材等 • Meticulously manages domestic and abroad M&A, the scope of work including but not limited to negotiations, due diligence, research on relevant legal issues and industries, drafting/modifying trading plans and transaction documents, drafting legal opinions, and communicating with overseas lawyers according to the requirements of either Shenzhen/Shanghai Stock Exchange or China Securities Regulatory Commission, instructing/reviewing the DD reports and legal opinions issued by overseas lawyers (Case like Hepalink acquire 100% share of the target company, Topknow, Zhong Lun 2018 declares three international rating agencies such as Chambers, Asialaw, IFLR1000) • Responsibilities IPO projects, the scope of work including but not limited to conduct due diligence, design/research of pre-IPO restructuring plans, drafting/modification of PE investor agreements, design of employee incentive plan, drafting of share reform documents, research relevant legal issues and issues memorandum, and drafting of legal opinions, etc. • Research related accounting, tax knowledge, design tax planning, and saved nearly 20 million RMB for a listed company
