The HoldCo is a government-owned company to offer and oversee provision of healthcare activities nationwide. It is the largest government-owned company in assets outside the gas and energy sector. The HoldCo supervises twenty-one clusters “subsidiaries” across the Kingdom, each of which provides healthcare services within its catchment area. The Board is chaired by His Excellency Dr. Tawfeq Al-Rabiah. The tasks achieved as General Counsel involved: drafting HoldCo and Clusters’ Governance Charters and bylaws; drafting HoldCo and Clusters’ Governance manual, Financial Policy, and Delegation of Authority; Setting up the compliance, governance, and legal affairs’ functions, each of which is under the General Counsel’s direct supervision. As a board secretary he has been working very closely with the Chairman and the board to set up the HoldCo and clusters.

The SMEs include: Ian Dalton, former NHS Improvement CEO, Prof. Stephen Smith, East Kent Hospitals Trust Chair, and Melvin Samsom, Health and Wellbeing Director at NEOM. The projects include: HoldCo Operating Model, HoldCo and cluster governance, Recruitment of clusters’ boards and executives, HHC and Clusters’ policies and procedures.
