- Trusted governance advisor to the Chair, Board, senior management, staff and stakeholders.- Delivers the efficient production of meeting agendas, documentation, minutes, and communication of decision-making.- Manages and leads the Governance team to deliver efficient and effective governance.- Partners with General Counsel in an extensive and ongoing organisation-wide governance review.- Promotes compliance with the Company’s constitution and policies.- Works with Legal and Finance to ensure compliance with statutory and regulatory requirements.- Facilitates director inductions, professional development and maintains an associated register.- Composes and reviews reports, memorandums, charters and internal procedures/manuals.- Contributes to the production and publication of the Company’s annual financial reports.- Trains and mentors staff in governance best practice, meeting procedures and strategic mindset.- Recruited and trained an Assistant Company Secretary in 2022.- Delivered a complex series of online elections and appointment processes in 2022.- Coordinated the appointment of a new Chair in late 2021.- Delivered ASIC and Member approval for a new Company auditor in 2021.- Coordinated a seamless transition to virtual and hybrid meetings during the COVID-19 pandemic. - Developed online voting systems across multiple Member meetings.- Delivered member approvals for significant governance reform in 2020, 2021 and 2022.
