As a member of the Executive Team, I assist in the creation and implementation of Veran's strategic vision by:-Advising on, drafting, reviewing, and negotiating all agreements with key development and manufacturing partners, distributors, customers, healthcare consultants, and partners, including but not limited to IP and software development/licensing contracts, standard terms & conditions, customer warranties & service plans, clinical trial agreement, manufacturing arrangements, and real estate leases, statements of work, and related amendments and communications.-Serving as lead attorney on mergers & acquisitions, corporate governance, debt and equity matters.-Interpreting, advising, and drafting policies, analyses, trainings, and guidance to business teams regarding the Anti-Kickback Statute, Stark Law, AdvaMed, HIPAA, the False Claims Act, and business ethics (including the corporate Code of Conduct).-Overseeing and managing the human resources function for a workforce spanning 30+ states, including employment training, hiring and disciplinary matters, performance reviews, promotions, department restructures and reductions-in-force, payroll compliance, benefits administration, and management 1099 independent contractor relationships.-Responding to all litigation-related matters, including demand letters, subpoenas, document requests, outside investigations, and litigation hold notices, as well as managing outside counsel relationships.-Assist outside counsel and business teams in the oversight and management of company intellectual property rights, including trademark and patent portfolios.
