I am honored to be the Chair of the Corporate Governance & Securities practice group at Cozen O'Connor. I devote my practice to advising boards of directors and management teams on governance matters and handling of complex securities transactions for businesses in a variety of industries including the biotechnology, energy, and technology sectors. I have broad experience in business finance, including public offerings, stock-for-stock mergers, private placements of common stock, and offerings of convertible notes. My pro bono commitment is to children in our region. As President of the Support Center for Child Advocates, I had the privilege of working with an organization whose mission is to advocate for victims of child abuse and neglect in Philadelphia with the goal of securing a permanent, nurturing environment for every child. The Support Center for Child Advocates provides legal assistance and social service advocacy for abused and neglected children in Philadelphia County. Child Advocates is one of the most successful volunteer models serving children in the country. Since its founding in 1977, Child Advocates has trained more than 3,500 attorneys who contribute pro bono services valued at more than $4 million annually.

I was an attorney in Business and Finance Department of this approximately 260 attorney law firm. I was responsible for all aspects of corporate, governance and securities law and accountable for negotiating and drafting corporate agreements, including mergers and acquisition agreements, creating disclosure documents, and advising clients of corporate governance, compliance and securities matters. At Saul Ewing, I maintained many roles over the years. I was Chair of the Corporate Governance Group, Co-Chair of the Securities Transactions and Regulations Group, and member of the Life Sciences Practice Group. I was also responsible for administrating the Editorial Board of the Corporate Governance Group and Chair of the Firm's Career Development Committee. I was also the Firm's Mentor Program Coordinator, responsible for implementing and furthering the Firm's Mentoring Program, including training of mentors (assisted in the establishment of the formal Mentoring Program). I was Chair of the Pro Bono Committee and Co-Chair of the Firm's 2001 Summer Program. I assisted with establishment of training programs (general corporate and securities law) for business department associates and served as a member of the Firm's Hiring Committee and co-chair of the Associates Committee. I was a writing advisor to associates and summer associates and mentor to associates and summer associates. I created and was Co-Editor and Co-Publisher of the Firm's Public Interest Way newsletter, devoted to pro bono and public interest news.
