Principal Associate General Counsel

• Responsible for managing legal relationships for the Global Data Group and the Global Index Group, serving as the primary contact for any issues arising. Worked with the Market Technology team to license NASDAQ technology to other markets, directed regulatory issues to the appropriate counsel, handled all matters for MarketSite, and served as chief counsel to the Marketing and Corporate Communications Groups. • Advised senior management and performed due diligence, negotiated and drafted agreements for domestic and international mergers and acquisitions, partnerships, and joint ventures.• Maintained close involvement with the $1B acquisition of eSpeed, performing due diligence in the early stages, and completing the onboarding of customers after the deal closed. Completed the successful acquisition of Dorsey Wright, a $25M investment in the index field. • Managed all aspects of software and technology licensing, purchasing, consulting, and maintenance agreements, from negotiation to execution. This work supported the operation of 24 NASDAQ-owned global exchanges, in addition to more than 70 markets that license NASDAQ’s proprietary technology.• Negotiated and drafted NASDAQ’s principal global agreements, including global market data agreements that govern the dissemination of market data from NASDAQ’s global exchanges. Managed services agreements that allow for third-party connectivity, transaction, and execution services through NASDAQ’s proprietary networks.• Sole attorney for all contracts involving the company’s multiple Internet sites, encompassing site development and content agreements with providers of financial data and news. Managed all online legal matters, including social media issues for Facebook and Twitter feeds, along with online privacy policies.• Guided all global trademark litigation and domain name disputes, as well as the legal and regulatory review of all press releases, print, television, Internet, and multimedia marketing campaigns.

• Responsible for providing legal support to the Data, Index, Marketing, Internet, MarketSite, and Corporate Communications teams. Supported a number of data agreements with each NASDAQ market prior to the Global Data Agreement, along with specifically crafted agreements for distributors, vendors, and individual jurisdictions.• Supported NASDAQ’s acquisition of OMX by participating in the due diligence process. This addition to the NASDAQ family essentially doubled the sized of the company and greatly expanded its market reach.• Served as a liaison with specialized outside counsel to manage NASDAQ’s trademark and patent portfolios. Handled all registrations, licensing, infringement issues, domain disputes, and other related issues.• Managed a full range of global responsibilities encompassing all index licenses, data agreements, and licensing. • During the creation of NASDAQ Dubai, handled the licensing of proprietary technology and the NASDAQ name.• Responded to the rapid growth of Social Media with policies and procedures for company employees covering appropriate social channel content within the scope of their work, as well as for private pages. • Developed the first NASDAQ OMX Global Data Agreement that, for the first time, consolidated the right to receive and further disseminate market data from any of NASDAQ’s 30 international markets into one global agreement. Worked heavily in the market tech licensing business, enabling technology licensing for 60 worldwide exchanges.

Assistant General Counsel

• 2001 - 2005

• Responsible for supporting the exponential growth of NASDAQ’s index licensing business to global financial product providers. This effort initiated in the US with options benchmarked to NASDAQ indexes, then expanded to derivative products around the globe. • Provided ongoing backing for NASDAQ’s web presence by negotiating and drafting all content agreements, disclaimers, evolving privacy policies, domain name disputes, and private site user agreements.• Led negotiations for $7M to $10M contracts with IMG, over seven years, for the NASDAQ-100 Open. This annual two-week event in Biscayne Bay is the largest tennis tournament in the world outside of the four Majors. • Worked as the exclusive in-house attorney for the Fidelity partnership and licensing agreement that created ONEQ, an exchange-traded fund (ETF) that tracked the NASDAQ Composite Index.• Negotiated the sale of the QQQ and EQQQ to Invesco PowerShares, a seminal moment in NASDAQ’s company history. PowerShares QQQ is an ETF that tracks the NASDAQ-100 Index, with billions of dollars under management, it remains one of the top traded shares in the market today.

Senior Attorney

• Supported the launch of the NASDAQ MarketSite in Times Square, this New York city landmark features the world’s largest video screen, visitor exhibits, and rich graphical elements. Secured a patent for the LogoTicker, the first use of integrated company logos in the century-long history of stock ticker information displays.• Assisted with the development of the SuperMontage trading system by working on technology licensing agreements, working extensively with outside counsel, and filing approximately 30 related patents.• Filed and oversaw NASDAQ’s extensive trademark portfolio, including registered trademarks in the United States and approximately ten core marks registered in over 50 countries worldwide.• Acted as lead in-house counsel for close to 50 successful ICANN domain name arbitrations, as well as the first trademark opposition sustained by the Trademark Trial and Appeal Board of the U.S. Patent and Trademark Office in 1999 (The NASDAQ Stock Market, Inc. v. Antarctica S.r.l.).• Worked extensively on due diligence for the 1998 American Stock Exchange acquisition transaction.• Supported Marketing unit initiatives that included extensive advertising campaigns for NFL Halftime Shows, NCAA Football, and a full range of high profile events.
