  I represent clients in mergers, acquisitions, and other business combinations in telecommunications, media, and technology. Representative deals include: • Structuring and negotiating purchases and sales of founder-led companies, including in the areas of strategic communications and public affairs, interactive digital marketing, healthcare marketing, digital brand engagement, advertising technologies and data platforms, and polling and market research. • Structuring and negotiating the acquisition of public and private company carve-outs, including in the areas of entertainment research, public opinion and reputation strategy, mobile communications market research, and online reputation management and digital privacy. • Structuring and negotiating the acquisition by private equity buyers of portfolio companies from other private equity and venture capital investors, including in the areas of B2B digital marketing and travel media. I structure and negotiate novel contractual arrangements for infrastructure deployment and advise on related regulatory and legal issues, including public-private partnerships, joint ventures, and creative approaches to accessing public rights-of-way. I also negotiate and supervise the preparation of complex commercial contracts specific to the telecommunications industry, including agreements for subsea cable and terrestrial IRUs, wireless resale and MVNOs, utility pole attachments, spectrum leases, cable landing stations, tower leases, transponder purchases, and intercarrier arrangements and transactions. Some of my significant achievements include: • Initiating redomestication of MDC’s jurisdiction of organization from Canada to Delaware, culminating in the SEC allowing solicitation of shareholder approval. • Leading the response to Covid-19 pandemic legal issues impacting MDC’s business and pursuing opportunities presented by government actions in response to the pandemic. • Devising and implementing a program to manage compliance with disclosure obligations and corporate governance best practices for related-party transactions with MDC’s largest shareholder. • Managing legal strategy resulting in a negotiated resolution with labor union about how non-union advertising agencies produce commercials. • Negotiating amendments to MDC’s multi-lender revolving credit facility during the Covid-19 pandemic.
