Ø Extensive experience in capital markets and security law advices, including compliance/ regulatory matters under Stock Exchange Rules and international best practice guidelines. Ø Advising plc clients in respect of the Irish Stock Exchange Rules and various EU-wide securities law regimes, including Prospectus, Market Abuse and Transparency law. Ø Acted for Davy and JP Morgan (as Bookrunners and Sponsors) on Green REIT plc's €400m Placing and Open Offer in May 2014. Ø Acted for Keelings Group on the sale of its Catering division to Pallas Foods/Sysco Corporation in October 2012. Ø Acted for syndicate of international and institutional investors (including Fairfax Financial Holdings, Fidelity, WL Ross and Kennedy-Wilson) on their €1.1bn investment in Bank of Ireland in 2011. Ø Acted for Skillsoft plc on its US$1.2bn Takeover in 2010 and acted for IONA Technologies plc on its US$162m Takeover in 2008. Ø Acted for Smurfit Kappa Group plc on its €1.4bn initial public offering on the London & Irish Stock Exchanges in 2007, Ireland's largest ever IPO.Ø Acted for Norkom Group plc on its €100m admission to the AIM and ESM (formerly IEX) markets in 2006.
