      The company provided a proprietary software product the enabled significant productivity improvements for enterprise level drawing requirements.The company was purchased in a leveraged buyout (LBO) from Evaluation Research Corporation (see below) as part of the sale of ERC to Ogden. The LBO removed substantial technical delivery requirements from the balance sheet of ERC.Mr. DeVaux negotiated a deferred payment to ERC that was based on the performance of the new company.Mr. DeVaux arranged for a number of individuals to invest in the new corporation at the closing.The closing occurred on October 21, 1987 - two days after Wall Street crashed.       Mr. DeVaux joined ERC with the stated objective of turning the NYSE listed company from a DoD service contractor to a more broadly based company using acquisitions financed by stock and corporate debt.He conceived the strategy of using a separate corporation to own the acquisitions. This company was named ERC Environmental Energy and Services.A number of acquisitions were made in a short period of time.To provide additional cash resources, a convertible debenture offering was put together and subscribed by Mass Mutual and other investors.The next step was a listing on the NYSE. Mr. participated in all phases of the offering. The offering was a success.Federal funding of the Resource Conservation and Recovery Act spurred interest in environmental stocks and the price of our new company went up significantly. ERC’s 69% holding of the subsidiary was worth more than the stock value of ERC. Arbitrage quickly set in and several takeover offers were made to ERCOgden corporation won the bidding.
