As Commercial Counsel, my role includes:• Drafting, reviewing, and negotiating various commercial contracts: NDAs, MSAs, SOWs, manufacturing & supply agreements, R&D agreements, clinical trial agreements, IIS/IIR agreements, business associate agreements, technology licenses, SaaS agreements, sales agreements, media buying agreements, venue agreements, real estate agreements, among others;• Developing and maintaining expertise in various legal areas, including contracts law, data use and protection laws, consumer protection laws, privacy laws (e.g., CCPA, GDPR), L&E, ESG, and key areas of risk for medical device manufacturers (e.g., Federal Anti-Kickback Statute and anti-bribery/anti-corruption regulations);• Supporting global contracting for company stakeholders in line with long-term business strategies and risk management objectives by providing rapid, practical, business-oriented advice directly to business clients;• Proactively assisting and counseling business partners to address legal, regulatory, and reputational concerns, and to resolve commercial disputes;• Developing and delivering training to internal stakeholders, including on contracting processes, protection of confidential information, etc.;• Collaborating with internal stakeholders and the Legal team to identify and implement process improvements regarding contracting and general legal guidance;• Applying innovative problem-solving skills and practical business judgment to maximize revenues, minimize risk, and foster long-term client relationships;• Developing new and updating existing contract templates, and researching relevant legal issues as needed.
