  My practice in the Securities/Corporate Governance Litigation practice of Weil, Gotshal & Manges LLP focused on representing boards of directors and senior management in shareholder derivative and class action litigation and counseling on corporate governance and fiduciary duty issues. Two Delaware Attorneys General appointed me as a Special Deputy Attorney General: in 2017, to evaluate the statewide impact of federal immigration policy changes, and in 2011-2013, for an independent investigation of campaign finance violations. I am co-author of Indispensable Counsel: The Chief Legal Officer in the New Reality (Oxford University Press, 2012) and of numerous articles concerning corporate law and governance, corporate litigation, and the role of legal counsel within corporations. I have been actively involved in pro bono work, including with respect to life imprisonment for juvenile offenders, asylum, guardianship, First and Fourth Amendment, and contract issues.
