I am a business lawyer with a litigator's perspective. I help businesses form, grow, and, if necessary, sell or transition onto the next phase. I advise businesses on best corporate practices, transactional matters, how to avoid litigation, and what to do and expect if litigation occurs. A sampling of my work:· Helped client undergo complicated recapitalization that consolidated multiple classes of stock into a more streamlined structure.· Merged privately held local company with out-of-state company in $38 million transaction.· Conducted $200 million stock sale of privately-held local company.· Took Tier 1 Regulation A offering from start to finish, including NASAA coordinated review process.· Made Blue Sky and Form D filings for securities in private offerings.· Obtained state approvals for commercial and consumer lending for New Hampshire banks.· Prepared Annual Meeting materials for corporations with multiple subsidiaries and complicated vote structures.· Reviewed and revised non-compete agreements.· Argued at the 1st Circuit Court of Appeals, N.H. Superior and District Courts, Departments of Labor & Transportation.· Handled litigation and preventative counseling related to: commercial transactions; perfected security interests and priority of same; federal civil rights claims; municipal liability; asbestos on residential property; employee sexual assault; land use; third-party bank fraud; school faculty and staff handbooks; school sexual harassment training; products liability; and personal injury.· Interviewed clients and key witnesses.· Handled written, electronic, and in-person discovery (including preservation issues and depositions).· Successfully negotiated settlements.
