Notable accomplishments:  Advised company management on all strategic and routine business initiatives, negotiated and drafted suites of documents supporting complex commercial transactions, including joint ventures, LLC operating agreements, teaming agreements, MOU’s, NDA’s, letters of intent, term sheets, contracts, etc.  Negotiated and drafted documentation for an innovative $900M asset acquisition of a power plant site for the purpose of decontamination and decommissioning, which closed in September of 2010. This $100M/year transaction involved subsidiary formation, negotiation of a complex asset sale agreement, suite of insurance coverage, regulatory licensing, trust creation, $200M letter of credit financing, lease of incumbent union labor force, negotiation of trade labor agreement, and much more.  Launched a company-wide export compliance and training program.  Directed defense of various litigation matters, including anti-trust, securities class action, Federal False Claims Act, tax, contract and employment matters.  Managed and administered intellectual property program including portfolio of over 200 patents.  Negotiated and drafted documentation for a $19 million environmental remediation transaction at a Texas property involving a third party buyer, bankruptcy trustee, state attorney general’s office and state regulator.  Managed a staff of six legal professionals and multi-million dollar Law Department budget.

Key responsibilities include negotiation and management of teaming agreements, business alliances, and contracts. Advise executive management team in developing strategies for business opportunities and proposals, including risk mitigation, intellectual property, environmental compliance, and internal controls. Supervise a staff of six contract management professionals responsible for compliance and administration of FAR and DEAR based subcontracts. Notable accomplishments include: • Negotiated teaming agreement and LLC operating agreement with member companies for a $2.5 Billion Project. • Settled ERISA claims by 114 former employees related to termination of pension plans associated with a defunct subsidiary. Settlement included payment by a third party owner of all costs including $510K in previously disallowed IRS excise taxes. • Negotiated a limited liability company buy-out agreement allowing the company to exit unprofitable work while realizing a payback from its joint venture partner.
