Responsibilities included the following: o Serving as senior leader of the Company’s legal function, responsible for managing a legal department of 10 employees o Ensuring best practices in corporate governance through periods of significant changes to the Company’s governance structure, Board of Directors, and executive management, working with three different CEOs during a five-year period o Directing the Company’s SEC reporting and compliance, managing litigation, and overseeing the Company’s labor relations o Advising on all material agreements, digital acquisitions and intellectual property compliance and licensing matters o Developing and implementing the Company’s FCC regulatory strategy, and advising and assisting in the negotiation of significant network affiliation agreements as well as retransmission consent and other distribution agreements o Serving as interim head of Human Resources, with responsibility for managing an additional 15 employees and oversight over personnel matters, compensation and benefits Oversaw all legal aspects of the Company’s transformative M&A and financing transactions, as further described in the attached bio.
