  As a shareholder in Branscomb | PC’s business group, I counsel entrepreneurs and investors in the early development stages of new business endeavors, including entity formation and capitalization. I also serve as outside general counsel for businesses, and represent businesses and their owners in many types of transactions, including corporate restructurings, recapitalizations, dispositions, and mergers and acquisitions. I also represent individual and corporate clients on aviation matters, including aircraft purchase and sale, financing, and leasing transactions, as well as advising clients on structuring the ownership and use of aircraft. Representative Matters:• Represented owner of San Antonio area water supply company in sale of equity interest to private equity firm in connection with strategic growth partnership, as well as refinancing of $20M+ senior secured term loan facility and new $30M+ secured line of credit to finance pipeline construction and other working capital requirements. • Represented owners of central Texas construction company in $14M+ sale of equity to key employee and outside investors.• Represented borrower in $50+ million senior secured credit facility to finance acquisition of oil and gas assets.• Represented partner in sale of ownership interest in Internet-based consulting business headquartered in Austin. • Represented partners in equity sale of automation and measurement services business operating in the Eagle Ford, Permian and Eaglebine basins. • Represented buyer in acquisition of instrumentation support manufacturing business headquartered in Houston. • Represented seller in asset sale of industrial gas and welding supply distribution business operating in South Texas. • Represented national health care services provider in overhaul of contracts covering provision of 340B pharmacy benefits management solutions to hospitals and health care providers.
