      • 2017 - 2018

      In the first half of 2017, Stone was still digesting the merger with Elavon (acquired from Citibank/Bancorp in April 2016), growing rapidly and planning its international IPO for mid-2018 (SEC/NASDAQ). Due to the merger, there was an accelerated and disorderly growth, Elavon was a bigger company, and was incorporated by Stone. My hiring took place in this context, with two main objectives: support for the preparation of the IPO (with regard to financial functions and activities), and reorganize the controlling functions, tax and FP&A areas (including the completion of the ERP exchange [from TOTVS Protheus system to Oracle]).In general, the IPO support activity consisted of (among others): i) assistance in the preparation of the offer prospectus and the Management Discussion and Analysis document (MD&A), ii) definition of the ideal offer structure (including tax questions) ), iii) solve problems raised by regulators in the review of registration documents (based on the JOBS Act of 2012), iv) prepare investor relations materials and other communications with stakeholders, v) manage new regulatory requirements and reporting requirements of a publicly-held company, vi) perform benchmarking studies on financial statements, earnings reports and registration documents (Reference Form), vii) improve corporate governance, transparency and internal controls, and viii) train the team in relation to the new mindset and compliance practices of an publicly-held company.

      [Turnaround Project] Approached by Baidu [NASDAQ: BIDU] in November 2014 to take over as CFO of Peixe Urbano. The website had been going through a Due Diligence process for a year, there were two potential buyers for the business that, at the time, was practically in bankruptcy.In October 2014, Baidu was the winner of the process and fully acquired the website. The Due Diligence team that performed the work for Baidu was led by me. The invitation was mainly based on the accumulated knowledge I had of the business. I started in January 2015, amid great challenges, the biggest ones being the restructuring of the business and the revitalization of the entire backoffice (controlling, legal, facilities and HR).Throughout 2015/2016 I was in charge of the process of revitalizing/reconstructing administrative and financial capacities. New internal and governance controls were implemented, FP&A activities (annual budgets and monitoring through Rolling Forecasts and KPI analysis), treasury reorganization, hiring of external auditors, adoption of a new ERP (Oracle), development of tools and procedures reporting in USGAAP and IFRS (consolidation and support for filing with the SEC/NASDAQ); evaluation, renewal and training of a team of 25 employees, among many other improvements.
