Managed all aspects of finance, investor relations, legal, risk management and HR benefits while reporting directly to the CEO and Audit Committee Chairman. Responsible for SEC reporting, accounting, financial reporting and analysis, treasury, cash and debt management, board of director reporting, and contract management. Worked closely with institutional and individual investors, sell-side equity research analysts, bankers, insurance brokers, external legal counsels, external auditors, tax advisors, and internal and external HR advisors. Worked on numerous due diligence activities in completing several acquisitions, including Glacier Water Services in 2016 for over $250 million, doubling the size of Primo Water. Responsible for the successful integration of Glacier Water’s financial reporting systems, contract management and the implementation of a unified HR information system and benefits. Led the transformation and recapitalization of the balance sheet in May 2018, with the completion of a $75 million secondary offering and new $220 million credit facility with SunTrust (now Truist), JP Morgan, BMO, and U.S. Bank. This resulted in annualized interest expense savings of over $10 million and reduced leverage ratio.Played lead role in successful sale to Cott Corporation (now renamed Primo Water Corporation) for $775 million in March 2020. Negotiated terms and worked closely with legal counsel to finalize and close the acquisition. Show less
