I served as General Counsel at SunEnergy1 where I have helped negotiate and close contracts for over 300 MW of fixed tilt and tracking solar PV systems. I worked closely with Duke Energy, Dominion North Carolina Power and PJM, negotiating and executing EPCs, interconnection agreements, power purchase agreements, membership interest purchase agreements, as well as communicating with federal, state and local governmental agencies, departments, and commissions with respect to all necessary authorizations and permits. I oversaw all legal aspects of site control, including acquisition of real property through purchase transactions and long-term ground leases. In addition, I was responsible for supervising the company’s general and day-to-day, operational, strategic and other business and legal affairs, including business development. LEGAL: General corporate transactional, commercial real estate, and energy law practice, with a focus on development, financing, construction and purchase/sale of utility-scale, commercial solar energy projects. Experience with federal, state and local loans, grants and tax incentives. Renewable energy credits (RECs) certification, purchase/sale, and RFPs. Extensive experience drafting and negotiating EPCs and PPAs. BUSINESS: Work closely with the CEO on various business development activities, including tax equity investment transactions, construction sales, and turn-key project sales. Responsible for the day-to-day management of the "development stage" solar portfolio country-wide, as well as fostering relationships with current and potential clients and investors. Manage reporting of internal and external information related to project development, design and construction progress to senior management team. BAR ADMISSIONS: New York, 2006; Vermont, 2006; North Carolina, 2013; US District Courts: SDNY, EDNY, and Vermont; and US Court of Appeals for the Ninth Circuit.
