I handle Corporate matters including mergers and acquisitions, joint ventures, company restructuring, shareholders agreements and LLP and partnership work. I have substantial private equity experience, advising both investors and companies seeking investment in a broad range of sectors. I also handle general Commercial matters, notably in advising franchisors, and clients in the private medical sector. Before joining Temple Bright in 2016, I was a partner at Shadbolt and a director at Clyde & Co. Temple Bright promises commercially relevant advice direct from a partner. Lead adviser to a private equity buyer of the entire issued share capital of an online supplier of vehicle parts. Provision of detailed advice in relation to IT and IPR aspects of the target in addition to the preparation of a shareholders’ agreement and articles of association. Lead advisor to private equity concerning the refinancing of a major residential care business. Lead adviser to the vendor of a major multi-jurisdictional immigration firm in its sale to a US PLC. Lead advisor to the vendors of a UK based manufacturing company with a subsidiary in the US and a factory in China to a Taiwanese buyer. Lead adviser to Galliford Try PLC on its sale of several PFI secondary market investments. Advised a master franchisee on its buyout from the franchise agreement followed by the creation of new operating licenses with partners. Advised on the creation of a national franchise network for a logistics company. Advised a world leading manufacturer of composite gels for the oil industry in a dispute with a major supplier. Lead adviser to the vendors in their disposal of an international group providing services to the oil industry, involving both a share and an asset sale, with multi-jurisdictional aspects. Lead adviser to the vendors of a UK based World-leading manufacturer of bespoke display screens to a South Korean buyer. The target had a Taiwanese subsidiary and the transaction involved extensive consultation with overseas professional teams. Lead adviser on several property related share acquisitions, including the acquisition of an Isle of Man based property company for £160m, and the acquisitions of two Luxembourg based property SPV companies for £94m and £58m. Lead advisor to an Australian based PLC on its acquisition of a Scottish recruitment consultancy.
