The Company is formed for the purpose of effecting a merger, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses. The Company, as of June 7, 2017, had not identified any business combination target. It had not, nor had anyone on its behalf, initiated any substantive discussions, directly or indirectly, with respect to identifying any business combination target.
