      Represented national and international financial institutions in all-bank asset acquisitions and sales, loan portfolio sales, and multiple branch bank sales and branch divestitures. Developed and implemented expert systems legal software for these engagements.Representative projects include:• Sale of approximately $1.2 Billion of commercial loan assets arising out of the DOJ-ordered divestiture of 61 national bank branches to three bank purchasers. • Sale by national bank of approximately $600 Million in complex CRE loans arising out of an earlier bank acquisition.• Due diligence, database creation, and evaluation of status of mortgage liens on 650+ real estate parcels as prelude to refinancing of a syndicated credit. Database information utilized in production of mortgages and mortgage modifications securing the refinanced syndicated loan.• Sale of over 6000 commercial loans and numerous consumer loans associated with the sale of 195 branches to four assignee banks.• Sale of over 2500 consumer and commercial loans associated with the divestiture of national bank branches.• Suitability review of loan assets as collateral for Federal Reserve borrowingsIn addition, represented lenders and corporate borrowers in a variety of complex financings, including syndicated and bilateral loans, construction and permanent financings, debt restructurings, collateralizations and workouts. Finance experience includes documentation, due diligence analysis, negotiation and closing of secured and unsecured commercial financing for national and super-regional banks, as well as local and national real estate developers and corporate clients.
